Reservation Terms wallPen E2

1. Subject matter

The subject matter is the reservation of a production slot for a machine of the wallPen E2 series in the configuration stated at the time of reservation. The reservation is not a purchase of the machine.

2. Formation of contract and fee

By placing an order in the online shop, the purchaser submits a binding offer to conclude a reservation contract. The contract is concluded with our order confirmation; an automated acknowledgement of receipt does not constitute acceptance. The reservation fee amounts to EUR 1,000 net and is due upon ordering.

3. Duration

The production slot remains reserved for three months from receipt of the reservation fee. Any extension requires agreement in text form.

4. Price commitment

The machine price stated at the time of reservation applies for the duration of the reservation under clause 3. After expiry, the price list then in force applies.

5. Purchase contract

A purchase contract for the machine is concluded separately, with our order confirmation setting out configuration, delivery date and payment schedule. Until then there is no obligation to purchase and no obligation to deliver.

6. Credit and payment

If a purchase contract is concluded within the duration under clause 3, the reservation fee is credited in full against the first down payment. The purchase price is due in the amount of 50 % before production commences, less the reservation fee already paid, and in the amount of the remaining 50 % before collection or delivery. Clause 3.3 of our terms and conditions of sale applies accordingly.

7. Refund

If no purchase contract is concluded, the reservation fee is refunded in full, without deduction and without interest. This applies regardless of the reason and also where the purchaser does not respond within the duration under clause 3. The refund is made within 14 days after expiry of the reservation or after receipt of a declaration not to continue the reservation, by the same means of payment used.

8. Value added tax

The reservation fee is a payment on account of the purchase price. It is invoiced with statutory VAT; where a valid VAT identification number is provided, it is invoiced under the reverse-charge procedure. In the event of a refund we issue a corresponding correction.

9. Delivery

The machine is handed over ex works in Wissen, clause 5.1 of our terms and conditions of sale. The shipping rule for shop orders under clause 5.4 does not apply to machines.

10. Scope

Reservations are available exclusively to entrepreneurs, legal entities under public law and special funds under public law within the meaning of sec. 310 para. 1 BGB. There is no right of withdrawal.

11. Relationship to the terms and conditions of sale

In all other respects our terms and conditions of sale in version D24 apply. Where these reservation terms deviate from them, they take precedence as an individual agreement, sec. 305b BGB. The German version of this page prevails.
